Why sign an NDA before a biocides or PPP data-sharing talk?
An NDA is the first document in a data-sharing or task-force discussion. It defines what counts as confidential, the only permitted purpose (usually assessing a possible LoA or joint dossier), how long secrecy lasts, and what happens if it is breached. Under BPR and REACH it is the practical step before any study list, price or strategy is exchanged. It is signed privately. It is not normally sent to ECHA.
What it is not?
It is not a Letter of Access. It does not let anyone cite data before an authority. It is not a Data Sharing Agreement: it does not set compensation or who owns the studies.
Typical next steps
NDA, then Letter of Intent (optional), then DSA, then LoA. Skipping the NDA is how customer lists, cost models and draft study lists leak into the wider task force.
